• Attempt to gain unauthorized access to our systems or data

Customer Responsibilities

You are responsible for ensuring that your use of our services complies with applicable laws and regulations.

You are responsible for the accuracy of information you provide, for managing user access within your organization where applicable, and for maintaining appropriate security practices.

You are responsible for obtaining any rights, permissions, and consents necessary to use our services with your data and connected third-party accounts.

Third-Party Integrations

Our services may integrate with third-party platforms and services. Those services are provided by independent third parties and are subject to their own terms, policies, and availability.

Vortex is not responsible for third-party services, their content, policies, downtime, or changes that may affect integrations.

When you connect a third-party integration, you authorize Vortex to access and use information and functionality made available through that integration as necessary to provide the requested service.

You may disconnect supported third-party integrations through applicable Vortex functionality or by contacting us. Disconnecting an integration may affect features that depend on that integration.

Meta Platform Integrations

Certain Vortex services may integrate with third-party platforms and services operated by Meta Platforms, Inc. and its affiliates, including supported Facebook and Instagram services.

When a user chooses to connect a Meta account or business asset to Vortex, the user authorizes Vortex to access the information and functionality made available through the applicable authorization and permission process.

The use of Meta services is also subject to the applicable Meta terms, policies, and requirements. Users are responsible for ensuring that they have the necessary rights and authorization to connect and manage any Meta account, Page, business asset, or other resource through Vortex.

Vortex may discontinue or modify an integration where the relevant third-party platform changes its APIs, policies, requirements, or availability.

Intellectual Property

All content, software, trademarks, and materials provided through our services are owned by or licensed to Vortex TM Solutions Ltd.

You may not copy, modify, distribute, sell, or create derivative works from our intellectual property without prior written consent, except as permitted by law or expressly allowed by us in writing.

Payments and Subscriptions

Where applicable, fees for services will be communicated at the time of purchase, subscription, or in a separate agreement.

Payment terms, billing cycles, renewals, and refund policies will be specified in your service agreement, order form, or checkout process.

Failure to pay applicable fees may result in suspension or termination of access to paid services.

Service Availability

We strive to maintain reliable service availability but do not guarantee uninterrupted or error-free access.

We may perform maintenance, updates, or modifications that temporarily affect service availability. We will use reasonable efforts to minimize disruption where practicable.

Limitation of Liability

To the maximum extent permitted by law, Vortex TM Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

Our total liability for claims arising out of or relating to the services shall not exceed the amounts paid by you for the relevant services in the twelve months preceding the claim, except where such limitation is not permitted by law.

Material changes may be communicated through our website or by other appropriate means. Continued use of our services after changes become effective constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of Ghana, without regard to conflict of law principles.
